Terms of Service
Last updated November 5, 2026
These terms govern your use of animanovalabs.com (the "Site"), the content on it, and our services. By using the Site, booking a call, or engaging us, you agree to them. If you do not agree, do not use the Site.
"We" and "us" mean AnimaNova Ventures LLC, a Wyoming limited liability company and the operator of the Site, which provides services under the name AnimaNova Labs. Our services are for business use by adults: you must be at least 18 years old and using the Site for business purposes to use our services. If you engage us on behalf of a company, you represent that you have authority to bind that company, and "you" includes it.
Arbitration notice: except for the disputes described in the "Governing law and disputes" section below, you agree that disputes between you and us will be resolved by binding individual arbitration, and you waive the right to participate in a class action or class-wide arbitration. You may opt out within 30 days, as described below.
Who we are, and who we are not
We are a software and AI engineering studio. We bring senior specialists together around one lead to design, build, and hand over software: AI engineering, software and data work, product design, and fractional CTO work. We work with companies, and with private equity funds and their portfolio companies, from AI due diligence and hands-on workshops to tools put live in the business. We are not an accounting firm, an audit or attestation firm, a certification body, a law firm, or a registered tax, investment, or financial advisor. Nothing on this Site, in our content, or in our engagements is legal, tax, accounting, investment, or financial advice, and nothing creates an attorney-client, fiduciary, or advisory relationship.
In particular, words such as "review", "architecture review", and "AI due diligence" on this Site describe consulting and engineering work, not an audit, examination, or attestation performed under any accounting, auditing, or assurance standard. AI due diligence covers the technology and AI questions agreed in the SOW; it is not legal, financial, tax, or accounting due diligence and does not replace them. Our work does not constitute or replace a formal audit, certification, or attestation, and it does not by itself satisfy any legal or contractual requirement to obtain one. Where your situation needs a licensed professional — an auditor, a lawyer, a tax advisor — engaging one is your responsibility, and we will tell you when we think that is the case.
No guaranteed outcomes
We do not and cannot guarantee any specific outcome: time or cost savings of any particular size, delivery by any particular date, model performance, adoption by your team, the outcome of any investment or transaction, or decisions by model providers, regulators, customers, or any other third party. Those outcomes depend on your systems, your usage, your follow-through, and decisions made by parties we do not control.
Results and figures described on the Site, including any specific figures for time, scale, cost, or delivery, describe specific past projects, which may include work our people delivered in previous roles. They are illustrations, not promises. Your results will differ.
Your responsibilities
You are responsible for the accuracy and completeness of the information you give us, for your own decisions and their consequences, and for complying with the laws and regulations that apply to you and your business, including AI, privacy, and sector-specific rules. You are responsible for your obligations to your own investors, customers, and users, including how AI outputs are used in your business. Our services are for lawful business purposes only. We may refuse or end service to anyone whose situation or conduct raises legal, compliance, or integrity concerns, at our sole discretion.
Engagements
This Site is a marketing site. It describes our services; it does not form a contract for them. Every paid engagement — such as AI engineering, software and data work, product design, fractional CTO work, AI due diligence, or a hands-on workshop — starts only after both sides sign a non-disclosure agreement ("NDA") and a statement of work ("SOW").
The NDA covers confidential information. The SOW covers everything else about the engagement: scope, steps, timelines, fees, payment, access to your systems, how your data is handled, ownership of what we build, and liability. If the NDA or SOW conflicts with these terms, the NDA or SOW wins for that engagement.
Descriptions of services, steps, durations, and timelines on the Site are summaries and invitations to talk, not binding offers or commitments. Prices are not listed on the Site: they are set in a written proposal after a call, and nothing is agreed until the SOW is signed. Please do not send confidential information, source code, or customer data through the Site or before an NDA is in place.
Site content
All content on the Site — its text, design, and other materials — is owned by us and protected by copyright, except for third-party images and materials credited on the Site, which belong to their owners. You may read and share links to it freely. You may not republish, resell, or redistribute it, or use it to build a competing product or service, without our written permission.
Content on the Site, including articles in our Journal, is provided for general information only, without warranty of any kind. It describes patterns and approaches that worked in specific situations; it is not advice for your situation.
Feedback
If you send us suggestions, ideas, or other feedback about the Site or our services, you grant us a perpetual, irrevocable, royalty-free license to use it without restriction or compensation. We publish client names, results, or testimonials only as allowed by the NDA and SOW for that engagement.
Third-party services
Call scheduling runs on Cal.com, and the Site uses other third-party platforms for hosting and analytics (see the Privacy Policy). Your use of those platforms is governed by their own terms, and we are not responsible for their availability or conduct. Model providers, cloud vendors, former employers, and other companies referenced on the Site do not endorse our services and are not responsible for our work, including where we take part in a partner program they run.
Disclaimer of warranties
The Site and its content are provided "as is" and "as available", without warranties of any kind, express or implied, including fitness for a particular purpose, accuracy, or non-infringement. Models, provider pricing, tooling, and regulatory expectations change without notice; content that was accurate when written may become outdated.
Limitation of liability
To the maximum extent permitted by law: we are not liable for indirect, incidental, consequential, special, or punitive damages, or for lost profits, lost revenue, lost data, service outages, model or provider behavior, regulatory or transaction outcomes, or decisions made by third parties. Our total aggregate liability for all claims arising out of the Site or our services is capped at the greater of the amounts you paid us in the three months before the event giving rise to the claim, or one hundred US dollars. A signed SOW may set a different cap for that engagement; where it does, that cap governs. Some jurisdictions do not allow certain exclusions; where that is the case, our liability is limited to the smallest amount the law allows.
Indemnification
You agree to indemnify and hold us harmless from claims, damages, and expenses (including reasonable legal fees) arising from your breach of these terms, your misuse of our content or services, information you provided that was inaccurate or incomplete, or your violation of any law or third-party right.
Governing law and disputes
These terms are governed by the laws of the State of Wyoming, USA, without regard to conflict-of-law rules.
Informal resolution first. Before filing any claim, you agree to contact us at hi@animanovalabs.com and attempt in good faith to resolve the dispute informally for 30 days.
Arbitration. Except for (a) small-claims disputes that either party brings individually in small claims court, and (b) claims for injunctive relief by either party, any dispute arising out of or in connection with these terms or our services will be finally settled by binding arbitration in Wyoming under the Federal Arbitration Act and the then-current rules of the American Arbitration Association, by one arbitrator appointed under those rules. Arbitration may be conducted remotely where the rules allow. Where arbitration does not apply, the exclusive venue for any action is the state and federal courts located in Wyoming, and each party waives any objection to that venue.
Individual basis; time limit. To the extent permitted by law, any dispute-resolution proceeding will be conducted only on an individual basis and not in a class, consolidated, or representative action, and claims must be filed within one year of the event giving rise to them.
Arbitration opt-out. You may opt out of binding arbitration within 30 days of first accepting these terms by emailing hi@animanovalabs.com with your full name and a clear statement that you opt out of arbitration.
General
If any provision of these terms is found unenforceable, the rest remain in effect. Our failure to enforce a provision is not a waiver of it. You may not assign these terms; we may assign them in connection with a sale or reorganization of the business. These terms, the Privacy Policy, and any signed NDA and SOW are the entire agreement between us regarding the Site and our services.
Changes
We may update these terms at any time. The date above reflects the latest revision, and continued use of the Site after changes take effect constitutes acceptance.
